Position Overview:

 

The Legal Counsel shall be responsible to provide legal advice, consultation and counsel the management on projects, operations and other business activities to ensure the legal rights and obligations of the company are clearly defined, interpreted, implemented and safeguarded in line with the Group Company and regulatory governance.

 

Key Responsibilities:

 

  • Ensure Management is fully and regularly appraised of issues, business support requirements and the efficient service being provided.
  • Provide pro-active, timely and quality commercial legal advice directly to Management and shareholders.
  • Review, draft and negotiate oil & gas and other commercial and legal agreements, contracts for the procurement of goods and services, advising the business to ensure ongoing compliance with policy and all applicable laws.
  • Build constructive and influential relationships within the Company as well as stakeholders.
  • Liaise with relevant regulatory authorities and business partners.
  • Liaise with external lawyers as may be required from time to time on any contractual, commercial and litigation matter of the Company.
  • Liaise with company secretary to ensure proper administration and maintenance of Company’s corporate and statutory records in Malaysia.
  • Communicate across functions and participate in the spread of knowledge, best practice and awareness of legal commitments and initiatives through the business.
  • Support Head of LGRC, General Counsel, Senior Legal Counsels and Company Secretary on a variety of matters across PETROS’s businesses ranging from oil and gas matters, mergers & acquisitions, major construction contracts, company secretarial, supply chain, IT, HR to litigation.
  • Lead knowledge management practice in the Legal team including developing precedents, conducting legal research, keeping abreast of new or changes in law, draft best practice notes on topical issues for use across the PETROS Group.
  • Provide training on legal, compliance and other topics to non-legal people in the PETROS Group.
  • Ensure appropriate legal policies and practices are in place to manage the legal obligations and risks of the Group effectively.

 

Qualifications & Experience:

 

  • Candidate must possess at least a bachelor’s degree (Honours) in Law, LL.B. or equivalent.
  • Minimum five (5) years of relevant working experience gained as in-house legal counsel and/or in private practice.
  • Qualified Malaysian lawyer preferably Sarawakian residing and work in Malaysia.
  • Experience in Corporate, Conveyancing, Litigation, Compliance, Risk and Company Secretary practicing area is an added advantage.
  • Detailed and results-oriented and fluent in spoken and written Bahasa Malaysia and English.
  • Strong knowledge in contract and commercial law, contract drafting, litigation, negotiation and management.
  • Interested in creating value for the business through use of initiative and pro-active engagement with the business partners to addressing commercial and legal issues facing by the Company.
  • Comfortable with taking responsibility and being held accountable for delivering results.
  • Curious with an enthusiasm to learn and develop legal and business skills.
  • Demonstrate ability to multi-task with good time management skills and balance multiple priorities in a dynamic environment.
  • Communicate effectively with non-legal people on complex business arrangements involving complex legal issues, in terms they can understand.
  • Able to work in a fast-paced working environment and work under pressure to meet deadlines given by the Management and/or business functions.
