Position Overview:

 

Senior Legal Counsel in Petros is the primary point of contact and providing day-to-day general and commercial legal support and advice to business partners in PETROS in relation to legal and non-legal risks, proposing risk mitigation strategies, and providing creative and legally sound solutions to resolve issues relating to all aspects of the business supported.

 

Key Responsibilities:

 

  • Job will be based in Kuching City, State of Sarawak, Malaysia and reporting to the relevant Executive Management of PETROS.
  • Ensure that business activities are conducted in accordance with internal policies, applicable laws and that PETROS companies’ rights are appropriately protected.
  • Participating in contractual negotiations with a range of customers, suppliers, and partners in different sectors.
  • Ensure the protection of PETROS companies’ legal and financial interests and ensure commercial objectives are met when negotiating, advising on, drafting and reviewing agreements and overseeing the development of major contracts.
  • Enhance and develop template contracts and user guides as required for business use.
  • Enhance and develop processes and procedures for the efficient provision of legal services in the role’s areas of accountability.
  • Drafting and negotiating high value agreements including MOU, Pre-bid Agreements, Master Agreements, Framework Agreements, Services Agreements, Specific Project Agreements, Settlement Agreements and possibly in specialist areas such as Carbon Capture & Storage.
  • Advising stakeholders on regulatory compliance e.g. data privacy, Intellectual property, Export Control, Competition Law, Insolvency and Cybersecurity.
  • Provide legal support to business partners on claim management, dispute settlement and other litigious issues including management of external law firms in compliance with PETROS policies.
  • Facilitate trainings and awareness sessions on contract management topics as well as other legal topics related to the area of business.
  • Manage direct reports comprising junior lawyers including mentoring, coaching, developing their core legal skills and soft skills.

 

Qualifications & Experience:

  • LLB degree or equivalent.
  • At least 10 years of relevant working experience gained as in-house legal counsel and/or in private practice in a commercial setting.
  • Strong Team Player – proactive to provide support and share knowledge with other Legal team members as needed and contributing to the overall development and continuous improvement of the Legal team.
  • Detailed and results-oriented, with outstanding organizational and analytical skills.
  • Demonstrated business savvy with the ability to work successfully with high level business clients and to evaluate and to accept appropriate risk-taking to protect shareholder value.
  • Proven experience in drafting, reviewing and negotiating commercial contracts and advising on compliance matters (e.g. anti-bribery, anti-corruption, fraud, antitrust, export control, privacy, Enterprise Risk Management).
  • Strong business acumen, a robust yet flexible personality, good communication skills (oral and written) and are able to operate in a multi-cultural and multi-jurisdictional environment.
  • Communicate effectively with non-legal people on complex business arrangements involving complex legal issues, in terms they can understand.
  • Ability to priorities and balance multiple priorities in a dynamic environment.
  • Demonstrate reliability, good judgment, teamwork, time management, effective research and writing skills and the ability to coordinate sophisticated projects and lead them to successful completion.
  • Proficient in Bahasa Malaysia and English.
